Active Software to Acquire Premier Software Technologies

Acquisition Expected to Accelerate Time-to-Market for eCommerce Integration Projects

 

SANTA CLARA, Calif. February 24, 2000 — Active Software, Inc. (Nasdaq: ASWX), a leading provider of eBusiness integration software products, today announced it has agreed to acquire Premier Software Technologies, Inc., a leading provider of integration products and services for eCommerce. The acquisition of Premier is expected to provide Active Software with extensive expertise for integrating eCommerce, Web server and legacy systems with leading enterprise applications, enabling customers to deploy eCommerce integration solutions rapidly and realize significant time-to-market advantages. Active Software is acquiring Premier for approximately $11.5 million in stock and cash, including stock issuable under options to be issued to Premier employees by Active Software.

Premier’s current products include: The Web Adapter for integrating all popular Web servers typically used in eCommerce applications with other enterprise applications, and a C Language Adapter for HP 3000 MPE/iX which provides rapid integration of midrange legacy systems. Premier’s integration solutions are in use by more than a dozen institutions worldwide such as Agilent Technologies, Billing Concepts, Deutsche Telekom, GE Medical Systems, Hewlett Packard, Maxtor, Redback Networks, Southern New England Telephone, and Virginia Community College System.
